在国际贸易中,跟单信用证作为支付方式的使用是最多的。进出口贸易公司收到进口商开来的信用证之后,首先应该对信用证内容对照买卖合同并根据《跟单信用证统一惯例UCP600》逐项进行严格认真的审核,基本要求是信用证条款应该与合同规定一致。这一步骤很重要,因为两者之间如有差异,就有可能给出口商造成许多麻烦,以至于经济上的重大损失。
因此,在审证时如发现信用证条款与合同规定不符,或一些先前未经出口商同意的特殊条款,出口商必须要求进口商修改信用证,直到与合同规定相符或者可以接受为止。
在出口业务中,由于客户或开证行工作上的疏忽或差错,或者由于某些不良进口商在开证时,为了攫取额外利益而故意设置信用证陷阱。以至信用证的内容与合同规定不符,这种情况并非少见,因此,认真做好信用证的审查工作是非常重要的。
进出口贸易公司收到信用证修改通知书后,必须再次审核,确认无误后,才能发运货物。
修改信用证一般由出口商向进口商提出要求修改信用证的。但在个别情况下,出于某些原因,进口商也有主动要求修改信用证的,如果信用证是不可撤销的,则必须征得出口商的同意;如果出口商拒绝接受改证,应该及时将修改信用证通知书退回通知行;并通知客户说明拒绝改证。此时,开证行仍须按原证承担付款责任。
信用证一般有三个“期限”,即交货期,议付期和交单期。信用证的议付有效期同交货期应有一定的间隔,以便交付货物后有足够的时间办理议付工作。
如果信用证只有有效期而无交货期,按照惯例信用证的最后议付期到期日就是最后的交货日。
交单期是指限定卖方必须在运输单据出单日(提单签单日)后若干天内向银行交单议付的日期。按照惯例,如果信用证未规定交单日,则出口商必须在不迟于运输单据出单日期后二十一天向银行交单。
信用证如未规定有效期(到期日),按照惯例这是无效信用证,不能使用。
在出口业务中,有时由于未能及时将货物备妥待运或者其他原因,未能及时交货,则必须要求国外进口商展期信用证的交货期和有效期,而且应在收到银行的展期通知后,方能发货。
