In case of quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination, while for quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other Transportation Organization /or Post Office are liable.

The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. 7. 仲裁(Arbitration):

Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached, the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC) , Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

唛头: The packing of the Goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation. The Seller shall be liable for any damage and loss of the Goods attributable to the inadequate or improper packing. The measurement, number of package, gross weight, net weight, and the cautions such as “DO NOT STACK UP SIDE DOWN”,
“KEEP AWAY FROM MOISTURE”, “HANDLE WITH

提前通 知卖方检验时间和地点，卖方有权委派代表参加检

替换或重发并承担相关的费 用。若在上述期限内买方未通
知卖方任何不符情况，则视为所交付货物的数量、规格及表

box” inspection of the Goods in respect of their quantity, specifications and apparent order and condition. The Buyer shall inform the Seller in advance and the Seller has the right to send its representative to join the inspection. In case of shortage, damage or wrong delivery, the Buyer shall promptly notify the Seller of the discrepancies, and the Seller will make up the shortage, replace the damaged Goods or send the correct Goods, and bear the related costs. If the Buyer does not notify the Seller of any such discrepancies within the prescribed period, the quantity, specifications and apparent order and condition of the delivered Goods shall be deemed in 7.3 compliance with this Contract. 在货物到达目的地口岸90

新的、未使用过的、最新的或最现代型号的，没有设计、材

supplied under the Contract are new, unused, of the most recent or current models and they incorporate all recent improvements in design and materials unless provided otherwise in the Contract. The Seller further warrants that all Goods supplied under the Contract shall have no defect, arising from design, materials, or workmanship (except when the design and/or material is required by the Buyer). The Seller also warrants that the Goods supplied conform to its published specifications or the specifications agreed upon in writing by the Parties. 8.2 除非本合同另有规定，质量保

payment by the Buyer will entitle the Seller to the interest on that outstanding amount at the rate of point zero 5 percent (0.05 %) per day from the due date thereof through the date of the completion of such payment. In the event the overdue payment is in foreign currency, the Buyer shall also compensate the Seller for the currency fluctuation losses (if any) caused by the default in payment by the Buyer. In the

event the Buyer is in default of any payment due or fails to open a letter of credit in time and as agreed, and the default is more than 60 days, the Seller is entitled to terminate the Contract and claim compensation against the Buyer. 10.1 除合同第11条不可抗力原因外，如卖方不能按合同规定的

罚款可由议付银行在议付货款时扣除，违约金按每7天收延
迟货物价值的 0.5%计算，不足7天按7天计，但最高罚款

规定90天时，买方有权撤销合同，此时，卖方仍应毫不迟
延地按上述规定向买方支付违约 金。 Except for force
majeure causes under Clause 11 hereunder, if the Seller cannot make delivery on time as stipulated in the Contract, the Buyer shall agree to take the postponed delivery on the condition that the Seller agrees to pay liquidated damages. The rate of such liquidated damages shall be 0.5%of value of the delayed Goods per 7 days, and if less than 7 days shall be countered as 7 days. The liquidated damages shall not exceed 5% of the total value of the Goods. If the delivery delay is more than 90 days than the stipulated date of delivery, the Buyer has the right to terminate the Contract, and the Seller, in spite of the termination, shall nevertheless

pay the aforesaid liquidated damages to the Buyer without delay. 10.2 如买方要求卖方延迟或者中止履行合同，卖方

acknowledges that the Product and any related software and technology, including technical information supplied by the Seller or contained in documents (collectively “Items”), may
be subject to export controls of the U.S. government. Buyer may not, without first obtaining the required license to do so from the appropriate U.S. government agency if so required: (i) export or re-export any Item, or (ii) export, re-export, distribute or supply any Item to any restricted or embargoed country (including but not limited to Cuba, North Korea, Sudan, Syria and Iran) or to a person or entity whose privilege to participate in exports has been denied or restricted by the U.S. government. Buyer certify that all the products received from Seller are intended for use in commercial applications only and are not intended for use in any military or nuclear, chemical or biological proliferation end applications or missile technology. Buyer shall, if

requested by Seller, provide information on the end user and end use of any Item exported or to be exported by Buyer. Buyer shall cooperate fully with Seller in any official or unofficial audit or inspection related to applicable export or import control laws or regulations, and shall indemnify and hold Seller harmless from, or in connection with, any violation of this Section by Buyer or its employees, consultants, or agents. 12.1 由于不可抗力的原因，而不能

Force Majeure:
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

今年我顺利转正，成为一名中共正式党员，这给了我无限的信心的同时也有
更多的压力。时刻提醒着我注意，什么是一个党员该做的，什么是不该做的，更

当然，加强理论学习仍将是今后工作和生活中的一项主要的内容。不断加强学习，以适应社会发展的需要，不断的提高自己的政治理论素质，以适应社会经济发展的客观要求。
二、学习刻苦，积极参加各种活动
作为新世纪的高等学府的学子，我很骄傲，当然压力也从来没有离开过。研究生的课程学习并不是很重，但是老师的宽松对我来说就像是无形的压力。突然感觉自己好像有好多东西需要学习，所以我不敢放松学习，希望在有限的学生生涯中更多地学到点东西,为将来能更好地为人民服务作准备。所以，我从来不旷课，课上也是认真听讲，当然学习之余也应该劳逸结合。
在今年学校的运动会上，我报名参加了舞蹈队的表演，从这次活动中，不但认识了不少同学，也给了我一个锻炼自己交际能力的场所，增加了自己的群众基础。自己从这次活动中收获不少，就是从这次活动中，我知道了，只要有决心，没有做不到的事。
三、严格要求自己，养成良好的生活习惯
进入研究生的学习和生活，相对来说环境比较宽松，我刚开始也放松了对自己的要求，直接的表现就是早上起床经常不叠被了。在一次学习马祖光院士的活动中，我受到了深深的震撼，一位院士有着如此节俭的生活，对一件事可以几十年如一日的坚持完成，多么伟大的人格啊!这使我反省自己，连起码的生活礼仪都不注意，在关键时刻也许想注意都难了。从那一天起，我就再也没有不叠被，感觉自己从那时起，就有了生活原则，有了自我监督机制，每天都会想想今天还有什么没有干好，或是还有什么原定计划没有完成。我深刻地感到，一个好习惯一生受益。注意将工作、学习、娱乐、休息有机的结合起来，将8小时以外的时间合理的利用起来，养成良好的生活习惯。
